Seeking a Corporate Paralegal who is well organized, detail oriented and adaptable with the willingness and ability to learn and implement a defined prioritization system. The successful candidate will have 6-10 years’ experience as a paralegal with knowledge of corporate formation, corporate agreements, corporate compliance, contracts, and general management of files.  Demonstrable analytical and problem-solving skills, strong written and verbal communication skills, excellent organizational skills and proficiency in Microsoft Word, Outlook and Excel is required.  Position is currently hybrid (2 ½ days in office, 2 ½ days work remotely).


  • Draft Corporation and Limited Liability Company formation paperwork for filing in a variety of states.
  • Draft FEIN paperwork for new companies
  • Assisting with notifications to NYSE and administration of relationship.  Assisting with insider trading policy compliance and notifications.  Assisting in the preparation of the annual proxy statement. 
  • Provide general overall administrative assistance to General Counsel, Vice President, Contracts, and staff members.  Respond to questions from all sectors of the company.
  • Effectively organize and maintain corporate files.  Support the Corporate Governance function, including maintaining and updating state filings and registrations, minute books and director and officers’ listings.   Prepare Corporate resolutions and unanimous consents, and assisting in the preparation, distribution, and maintenance of board materials through cloud based board books services.  
  • Monitor and calendar corporate deadlines.
  • Draft board and committee minutes, agendas, calendars, memos, written consents and resolutions; help oversee Board mailings, including contacting directors regarding availability and preparation of electronic Board packages; coordinate payment of Director retainer and meetings fees. 
  • Manage subsidiaries, including director and officer slates.  Maintain subsidiary minute books.
  • Support financing and other transactions as needed.
  • Administer web-based equity awards program.
  • Help prepare annual shareholder meeting materials, including the script, proxy cards, ballots, and logistics; coordinate with inspector of elections and transfer agent as required; provide required third-party notices; coordinate distribution of director and officer questionnaires.
  • Assist in the preparation of draft proxy statements and sections of Forms 10-Q’s and 10-K’s.
  • Prepare yearly government registrations as required for Department of Defense and other agencies


  • In house experience focused on securities compliance and the corporate secretary function; working knowledge of stock exchange requirements; actual experience preparing board minutes, agendas, shareholders meeting materials
  • Paralegal certificate or similar degree in Paralegal studies
  • Minimum 6-10 years job experience as a corporate paralegal.
  • Current Notary Public Certificate
  • Willing to pitch in and support growing legal department in a fast-paced environment.
  • Skilled at meeting strict deadlines under significant time pressure
  • Ability to handle multiple tasks simultaneously with a high degree of professionalism and client orientation
  • Excellent verbal and written communication skills to effectively work with various types of stakeholders
  • Fast thinker/quick learner, think outside of the box to conduct searches
  • Excellent organizational skills, attention to detail and ability to prioritize and work independently.
  • Ability to manage time and resources effectively and independently, and balance conflicting priorities.
